Mission Statement
The Fuel Experts Association is dedicated to the research, development, manufacture, and marketing of products and systems which, whilst continuing to seek enhanced performance, will contribute to the reduction of fuel consumption, running costs and harmful emissions across all modes of transport, as well as for off-road vehicles and engines.
The ultimate environmental aims are to contribute to the improvement of air quality and the mitigation of global warming.
Any business conducted by the Association or its Membership will be conducted in all respects in accordance with rigorous ethical, professional and legal standards.
Aims
The Association is to provide a forum for discussion and actively lobby Government in order to address problems affecting the Transport Sector, as well as off-road vehicles and engines and member operating companies.
The Association will also act as a voice for its member companies on common environmental issues.
The Association will look to grow its membership among like-minded organisations which subscribe to the Association's Mission Statement
Membership
Membership is open to any and all Companies or Individuals within the Transport and Off-road Vehicles/Engines Sectors and, as a qualification for Membership, all applicants are to show evidence of current business activity which accords with the Association's Mission.
Applications for membership will be considered from similar, like-minded Associations and Organisations.
An Associate level of membership will also be offered to Universities, Colleges and similar Institutions majoring on research into and/or analysis of developments which accord with the Association's mission to reduce running costs, fuel consumption and emissions across all modes of internal combustion engine operation..
Applications for Membership will be considered for approval by the Association's Management Committee
Membership Fees will be payable as soon as the applicant’s membership has been confirmed.
Membership Fees
Membership Fees - based on Turnover and exclusive of VAT:-

Annual Associate Membership Fee for individual Industry and Trade Associations is £500
SPECIAL DISPENSATION
A company which has undertaken Research and Development resulting in new sources of or new applications for fuel/energy has special dispensation to join the FEA at an Annual Subscription, for the first year of £500. Thereafter the company’s Annual Subscription shall be agreed in discussion with the FEA Management Committee.
Powers
The Association may:
a) Open bank accounts.
b) Take out insurance.
c) Organise courses and events.
d) Work with similar Groups and exchange information and advice with them.
e) Do anything that is lawful which will help it to fulfil its aim.
Management
The Association shall be administered by a Management Committee, which will include the Association’s Officers. Excluding the Officers, it will comprise not less than three and not more than six individuals whose election shall be confirmed at the Association's Annual General Meeting (AGM).
The Officers of the Association shall be: the Chairperson, the Financial Officer and the Secretary.
The Management Committee may co-opt onto the Committee, up to three additional Individuals who are full members of the Association, in an advisory and non-voting capacity if it feels this will help to fulfil the aims of the Association.
The Management Committee shall meet, formally, at least four times a year but, informally, as often as the committee members deem fit.
Excluding the Officers, at least three Management Committee members must be present for a Management Committee meeting to take place.
Voting at Management Committee meetings shall be by a show of hands. If there is a tied vote then the Chairperson shall have a casting vote.
The membership of any member may be terminated for good reason by the Management Committee: provided only that the member concerned shall have the right to be heard by the Management Committee.
The Management Committee may appoint any other member of the Association as a Committee member to fill a vacancy, provided that the maximum number prescribed in above is not exceeded.
The Duties of the Officers
The duties of the Chairperson shall be to:
Chair the meetings of the Committee and the Association
Act, proactively, as the spokesperson for the Association and also represent the Association at functions or meetings to which the Association has been invited.
The duties of the Financial Officer shall be to:
Supervise the financial affairs of the Association and keep proper, annually audited accounts that show monies received and paid out by the Association.
The duties of the Secretary shall be to:
Keep a membership list
Grow membership
Handle administrative duties
Prepare, in consultation with the Chairperson, the agenda for meetings of the Committee and the Association
Take and keep minutes of all meetings and collect and circulate any relevant information within the Association
Arrange and attend lobbying, and other relevant meetings
Prepare documentation and statements
Finance
All monies received by or on behalf of the Association shall be applied to finance and further the aim of the Association and for no other purpose. Debt shall not be incurred.
Any bank accounts opened for the Association shall be in the name of the Association.
Any cheques issued shall be signed by the Financial Officer and either the Chairman or the Secretary.
The Association shall ensure that its accounts are audited or independently examined every year. They are then to be submitted and approved by Members attending the Annual General Meeting
The Association may pay reasonable, approved out of pocket expenses including travel costs to members or Management Committee members.
Annual General Meeting
The Association shall hold an Annual General Meeting (AGM)
All members shall be given notice at least fourteen days before the AGM. and shall be entitled to attend and vote.
The business of the AGM shall include:
receiving a report from the Chairperson on the Group's activities over the year
receiving a report from the Financial Officer on the finances of the Group
electing the Management Committee and
consideration of any other matter as may be decided.
At least four Management Committee members, plus the FEA Officers, must be present for the Annual General Meeting and any other General Meeting to take place.
General Meetings
There shall be two General Meetings (excluding the AGM) each year at which at least four Management Committee members, plus the FEA Officers, must be present.
All members shall be entitled to attend and vote.
Special General Meeting
A Special General Meeting (SGM) may be called by the Management Committee or a minimum of four members to discuss an urgent matter. The Secretary shall give all members notice of any SGM, together with notice of the business to be discussed, fourteen days before the proposed date of the meeting.
Alterations to the Constitution
Any changes to this Constitution must be agreed by at least two-thirds of those members present and eligible to vote at any AGM, SGM or General Meeting.
Dissolution
The Association may be wound up at any time if agreed by two-thirds of the total membership (excluding Associate Members).
In the event of winding up any assets remaining after all debts have been paid shall be passed to a Charity approved by the majority of Members.
Indemnity
The Association shall indemnify and keep indemnified every officer, member, volunteer and employee of the Association from and against any and all claims, demands, actions and proceedings - and all costs and expenses in connection therewith or arising therefrom - made or brought against the Association in connection with its activities, the actions of its Officers, members, volunteers or employees but the indemnity shall not extend to liabilities arising from willful and individual fraud, wrongdoing or wrongful omission on the part of the Officer, member, volunteer or employee sought to be made liable.
The Financial Officer is to effect a policy of insurance in respect of this indemnity
Adoption of the Constitution
The Constitution was formally adopted by the Membership then present at
the Inaugural Meeting of the Association.
